| VCP-group now owns 88.97 % of BorsodChem |

VCP Industrie Beteiligungen AG (former corporate name: AURORA Holding AG; hereinafter: ”VCP Industrie”) entered on March 12, 2003 into a share purchase agreement with Milford Holdings Limited, based on which VCP Industrie has acquired a 29.74% direct interest in BorsodChem Rt. as of April 16, 2003. VCP Capital Partners Unternehmensberatungs AG (hereinafter ”VCP”) is the holder of 95% of the shares in VCP Industrie and of 100% of the shares in CEE Oil & Gas Beteiligung und Verwaltung GmbH (“CEE”). CEE is the sole owner of the shares in CE Oil & Gas Beteiligung und Verwaltung AG (“CEOG”). As a consequence, VCP - through its affiliates: VCP Industrie, CEOG and CEE - has an aggregate influence of 88.97% in BorsodChem.
